Bylaws
ARTICLE I - Meetings
The annual meeting of this Association shall be held at a time determined by the Executive Committee. Insofar as practical, it shall be held during the same month each year.
ARTICLE II - Committees
Section 1
The standing committees shall be the nominating, membership, financial review and program, and such others as may be deemed necessary by the Executive Committee.
Section 2
All committees shall be appointed by the president. They shall perform the duties as prescribed by the president and shall report to the membership at the annual meeting.
Section 3
Each committee shall have at least one member selected from the executive committee, who shall be responsible for oversight of the committee.
ARTICLE III - Duties of the Officers and Committees
Section 1
The president shall:
- Develop specific goals and coordinate activities of the Association during the term of office;
- Preside at Executive Committee and Association meetings;
- Appoint members of the standing committees and special committees as required or directed by the Executive Committee;
- Represent the Association at meetings of other organizations when official representation is of benefit to the Association;
- Supervise the activities of the program committee;
- Perform other duties as assigned by the Executive Committee.
Section 2
The president-elect shall:
- Act for the President at meetings and functions in absence of the President;
- Supervise the activities of those committees assigned;
- Perform other duties as assigned by the President or the Executive Committee.
Section 3
The OSBA liaison shall:
- Maintain a ledger of all payments and receipts;
- Maintain individual files for bank statements, cancelled checks, paid invoices and vouches;
- Maintain dues records for five years, and maintain a current membership list;
- Maintain permanent files of minutes of meetings and correspondence;
- Prepare an annual financial report at close of the fiscal year for audit or examination by the financial review committee;
- Serve as corresponding secretary of the Association and of the Executive Committee, except as the president may designate otherwise;
- Assist in the preparation and mailing of general communications to the membership, such as newsletters and notifications of meetings.
Section 4
The secretary shall:
- Serve as recording secretary at business meetings of the Association and at all meetings of the Executive Committee; prepare minutes of said meetings and distribute same in writing at the next regular meeting as appropriate;
- Serve as lead in preparing the Association newsletter. Perform other duties as assigned by the President.
Section 5
The nominating committee shall:
- Select candidates for all elective offices. Any nominating committee member selected as a candidate must resign from the committee;
- Complete the selection of candidates not less than thirty days prior to the annual conference at which the election is to occur.
Section 6
The membership committee shall:
- Have primary responsibility for planning membership promotion, present recommendations to the executive committee for same and assist in implementing membership campaigns;
- Assist the executive secretary in processing membership applications and maintaining a current membership list.
Section 7
The financial review committee shall:
- Review the financial records of the Association annually and provide a written report to the president;
- Assist with the conduct of a formal audit when such is ordered by the executive committee;
- Assist the executive secretary at annual conferences with any transactions involving collection of dues and other revenue.
Section 8
The program committee shall:
- Have primary responsibility for planning and conducting the annual meeting of the Association;
- Assist the executive committee in the development of the annual budget of the Association, with particular reference to that portion dealing with the annual conference.
Section 9
The duties of the ad hoc committees shall be specified for each such committee at the time of its creation. This shall be in the form of a written "Charge to the Committee" in which the task(s) to be undertaken shall be clearly stated, with a specific timeline for accomplishing same; the manner in which the final report shall be given; and a specified date when the committee shall be terminated. The Charge to the Committee shall be prepared by the president with the concurrence of the executive committee and any standing committee whose duties may relate directly to the task of the ad hoc committee being organized.
ARTICLE IV - Membership Dues
Section 1
The annual fee for active membership shall be $10 per person. The membership year shall begin on July 1 and extend to June 30 of the year following.
Section 2
Associate members dues shall be the same as for active members.
Section 3
The financial records of the Association shall be reviewed at least once a year. A formal audit shall be conducted when ordered by the Executive Committee, upon recommendation of the financial review committee.
