Constitution



ARTICLE I - Name

Section 1

The name of this organization shall be the Oregon School Safety Officers Association.

ARTICLE II - Objectives

Section 1

The objectives of this organization shall be:

  1. To provide the means whereby those engaged in the safety programs of the schools of the state of Oregon can meet, discuss and study all phases of school safety.
  2. To cooperate with any organization for the betterment of school safety.
  3. To strive constantly for the highest standards of efficiency and effectiveness in safety methods and practices.
  4. To work for the improvement of qualifications of school safety officials.
  5. To strive for the improvement of school safety.
  6. To promote and encourage any legislation which is necessary for the foregoing objectives.

ARTICLE III - Membership

Section 1

Active membership in the organization shall consist of:

  1. School employees directly connected with the safety programs of schools in the state of Oregon. No organization will have more than two votes.
  2. Officials and employees of education service districts and the State Department of Education who are directly concerned with the safety programs of the schools of the state of Oregon.
  3. Employees of the various colleges and universities of the state of Oregon who are particularly interested in school safety programs.

Section 2

Associate membership shall be open to any person not eligible for active membership who is interested in activities of school safety. Associate members shall not have voting privileges.

Section 3

Members shall be admitted to membership as follows:

  1. Meeting the qualifications of Article III, Section 1 or 2 above.
  2. Payment of dues as specified in Article III, Bylaws.

Section 4

Those active members present at any annual or special meeting of members shall constitute a quorum at the meeting. A majority of the votes cast by the active members present and voting shall be necessary for the adoption of any matter voted upon by the members.

ARTICLE IV - Officers

Section 1

The officers of the Association shall be:

  1. President
  2. President-Elect
  3. Secretary

Each of the above shall be elected for a period of one (1) year.

All officers shall be active members in good standing of the Oregon School Safety Officers Association.

Section 2

The election of officers shall occur at the annual conference, and shall be by ballot. A majority vote of the active members present and voting shall be required to elect. The ballot shall contain at least one name selected by the nominating committee for each office. Opportunity also shall be provided for nominations from the floor. Such nominations if made shall be with the prior consent of the nominees.

The term of office shall be for one year and shall be from the adjournment of one annual conference to the adjournment of the next annual conference. In the event an annual conference is not held, the term of office shall be extended until the next annual conference.

Section 3

Duties of the officers shall be:

  1. The president shall be the executive officer of the Association and shall preside over all meetings. The president shall also be an ex-officio member of all committees and shall perform other duties as provided in the Bylaws.
  2. The president-elect shall succeed the president at the end of his/her term and shall assume the duties and responsibilities of the president in the president's absence and shall perform other duties as provided in the Bylaws.
  3. The secretary shall progressively assume the duties of president-elect for one year and then president for one year. The secretary shall record the minutes of the executive committee, oversee the Association newsletter, and shall perform other duties as provided in the Bylaws.

ARTICLE V - Executive Committee

Section 1

The executive committee shall consist of:

  1. The officers stated in Article IV.
  2. The immediate past president.
  3. One associate member selected by the executive committee, to serve for one (1) year in a nonvoting advisory capacity.
  4. OSBA liaison to serve in a nonvoting advisory capacity.

Section 2

The executive committee shall be the governing body of the Association. Their duties shall be:

  1. Determining the activities of the Association.
  2. Approving expenditures and reviewing bills paid.
  3. Advising the president in the general management of the Association.
  4. Calling special meetings as needed and designating the date, time and place of such meetings, together with the reason for the special meeting.
  5. Setting the date, time and place of the annual meeting.
  6. To hold an annual executive committee meeting at the close of the annual meeting to determine activities, policies and guidelines for the ensuing year.
  7. To recommend the dues for active and associate membership.
  8. To meet on the call of the president, such call to be in writing at least ten (10) days before the date of the meeting.

Section 3

Three members of the executive committee shall constitute a quorum for the transaction of business.

ARTICLE VI - Bylaws

Details regarding the organization and activities of the Association shall be regulated by the Bylaws. The Bylaws may be amended (1) at any official business meeting of the Association by a majority of the active members present; or (2) by a mail vote of a majority of the active members voting, provided that notice of the proposed change has been given to all active members at least 60 days before the date of the official business meeting or the taking of the mail ballot.

ARTICLE VII - Rules of Order

Robert's Rules of Order shall be the parliamentary authority of this Association, subject to the constitution and special rules which have been or may be adopted.

ARTICLE VIII - Amendments

Amendments to this constitution shall be presented to the Association in regular convention in writing, sponsored by two or more members of this Association. A two-thirds vote of the active members present shall be necessary to amend this constitution.

ARTICLE IX - Ratification

Section 1

This constitution shall be in effect when adopted by the first board of directors of the Association in accordance with ORS 61.095.

ARTICLE X - Dissolution

The Association shall be dissolved only upon the vote of two-thirds of the membership, upon one year's notice. In the event of dissolution, any and all assets of the Association shall be donated to the Accident Prevention Division, Worker's Compensation Department, to be used exclusively for the purchase of safety films. None of the assets of the Association shall ever revert to the individuals or organizations comprising its membership, nor shall any donor be given preferential consideration in the disposition of the assets.
